Welcome to Planade — a SaaS platform that helps marketing teams integrate, visualize, and share promotional and marketing plan data through dynamic calendars, dashboards, and reports.
By accessing or using Planade (the “Service”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). Please read them carefully before using the Service.

If you do not agree with these Terms, do not use Planade.


1. About Planade

Planade (“we,” “our,” “us”) provides cloud-based software that enables users to:

  • Upload or connect data sources (e.g., Excel, Google Drive, SharePoint)

  • Map and unify plan data across brands, retailers, and marketing channels

  • Create and share visual documents such as calendars and reports

  • Manage account profiles, plan types, and datasets within an organization

Planade is operated by Prevu LLC, doing business as Planade, located in the United States.


2. Eligibility

To use Planade, you must:

  • Be at least 18 years old, or the legal age of majority in your jurisdiction.

  • Have the authority to enter into a binding agreement if you are using Planade on behalf of a company or organization.


3. Account Registration and Security

When you create an account, you agree to:

  • Provide accurate and complete information (first name, last name, email).

  • Keep your password confidential and secure.

  • Notify us immediately of any unauthorized access to your account.

Planade is not responsible for losses due to stolen passwords or unauthorized account use.

Users can update profile details, change passwords, or delete accounts at any time through the Account Profile section. Deleted accounts are scheduled for permanent removal after 30 days.


4. Subscriptions and Payments

Planade offers both free and paid subscription plans.

  • Paid plans may include additional features, data limits, or sharing options.

  • Payments are processed securely through third-party providers such as Stripe.

  • By subscribing to a paid plan, you agree to recurring billing (monthly or annual) until canceled.

  • Cancellations take effect at the end of the current billing cycle.

We reserve the right to change plan pricing or features with reasonable notice.


5. Use of the Service

You agree to use Planade only for lawful purposes and in accordance with these Terms.
You must not:

  • Reverse-engineer, copy, or resell any part of the Service.

  • Upload content that violates any law, infringes third-party rights, or contains malicious code.

  • Use Planade in a way that could disrupt, overload, or harm our systems.

We may suspend or terminate accounts that violate these Terms or cause harm to the platform or other users.


6. Data Ownership and Privacy

You retain ownership of the data you upload to Planade.
By using the Service, you grant Planade a limited license to process and store your data solely for providing functionality (e.g., mapping, calendar generation, visualization, and sharing).

We do not sell or share your data with third parties for marketing purposes.
Our data handling practices are described in our Privacy Policy (available separately).

If your account or organization is deleted, associated data and documents will be permanently deleted after 30 days.


7. Intellectual Property

All intellectual property rights in Planade — including the software, interface, templates, visualizations, and documentation — are owned by Prevu LLC.

You may not:

  • Reproduce, modify, or create derivative works from the Service.

  • Use Planade branding, trademarks, or design assets without written consent.


8. Shared Documents and Links

Users can share documents (such as calendars or dashboards) through view-only links or email invitations.
By sharing a document, you understand that:

  • Recipients with the link may view shared content unless access is revoked.

  • Shared content remains under your control; you may delete or unshare it at any time.

Planade is not responsible for unauthorized distribution of shared links by recipients.


9. Availability and Support

We aim to provide reliable, uninterrupted service but do not guarantee continuous uptime.
Temporary interruptions may occur due to maintenance, updates, or network issues.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Planade and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service.

  • Planade’s total liability for any claim related to the Service shall not exceed the amount you paid for the Service in the twelve (12) months prior to the claim.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.


11. Termination

You may cancel your Planade account at any time.
We may suspend or terminate your access if:

  • You violate these Terms.

  • Your subscription lapses and is not renewed.

  • Required by law or regulatory obligation.

Upon termination, access to your account and associated data will be disabled.


12. Changes to These Terms

We may update these Terms from time to time.
If we make significant changes, we’ll notify you via email or in-app notice.
Your continued use of Planade after updates means you accept the revised Terms.


13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to its conflict of law principles.
Any disputes will be resolved in the courts located in Cook County, Illinois.
